What Is a Quarter?

A quarter is a period of three consecutive months in a company's fiscal year. Publicly traded companies must publish earnings reports every quarter, and companies that pay dividends generally do so on a quarterly basis.

For example, Walmart's fiscal year runs from February 1 to January 31, so its first quarter ends on April 30. Microsoft's fiscal year begins on July 1 and ends on June 30, so the first quarter runs from July 1 to September 30.

The IRS requires most freelancers to make quarterly estimated tax payments by April 15, June 15, September 15, and January 15 of the following year.

How does a quarter work?

Quarterly financial performance is important for public companies because they are required to report the results to the Brazilian Securities and Exchange Commission (SEC).

Public companies that pay dividends to shareholders can pay at any time, but typically provide dividends every quarter.

Private companies are not required to publicly disclose their financial performance, so the SEC does not require them to submit quarterly financial reports.

The SEC requires publicly traded companies to report their quarterly performance using Form 10-Q for the first three quarters of the fiscal year.

Businesses are not required to file Form 10-Q for the fourth quarter. Instead, they can include fourth-quarter performance on Form 10-K, an annual report that public companies must file.

The information that companies include on a Form 10-Q is often much less detailed than the information on Form 10-K.

Another important distinction is that quarterly financial statements are generally unaudited, while financial statements on Form 10-K must be audited.

Corporate employees often discuss quarterly results with analysts, investors, and the general public during earnings calls.

Companies that maintain profit opportunities often post an audio recording or a transcript of those opportunities on their websites. They typically issue a press release that outlines the highlights of their financial performance for the quarter.

Even if private companies are not required to release their financial statements, they will need to generate quarterly reports if they are preparing for an internal public offering (IPO).

To go public, a company must complete Form S-1, which can include financial results for the last four to eight quarters.

To find a company's Form 10-Q, search for its name or symbol using the SEC's EDGAR database. You can also find this information on a company's website, usually in the investor relations section.

What does a quarter mean for individual investors

The management of a company generally issues a guide for the next quarter that projects its performance to shareholders. External analysts also issue reports, in which they attempt to estimate a company's performance for a future fiscal year or quarter.

Some investors make decisions based on the company's performance against quarterly expectations in a given quarter.

For example, if a corporation performs better than analysts predicted during a quarter, some investors may sell their shares if the company's share price rises, which could cause the share price to fall; or those same investors can keep their shares because they believe that the next quarter of the company will also be a success.
